MOISES DESIGN HUB TERMS

These Moises Design Hub and Media Asset Terms (these "Terms") are a legally binding contract between you and Moises Systems, Inc. ("Moises," "we," "us," or "our") governing your access to and use of the Moises Design Hub (the "Moises Design Hub") and any media assets, logos, images, videos, audiovisual works, trademarks, and other materials made available through the Moises Design Hub (collectively, the "Media Assets").
PLEASE READ THE FOLLOWING TERMS CAREFULLY:
BY ACCESSING OR USING THE MOISES DESIGN HUB OR DOWNLOADING ANY MEDIA ASSETS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS THE MOISES DESIGN HUB OR USE ANY MEDIA ASSETS.

License Grant. Subject to your compliance with these Terms, Moises grants you a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free, worldwide license to:
Access and use the Moises Design Hub solely to access and download Media Assets;
Access and use the Brand Guidelines (as defined in Section 2 below) to understand the permitted uses and requirements of the Media Assets; and

Use the Media Assets solely for the following permitted purposes:
News and Editorial Coverage: Accurate, factual reporting about Moises, our products, services, or related developments;
Partner Marketing: Promotion of your bona fide partnership, integration, or collaboration with Moises, provided such use has been approved in writing by Moises or is expressly contemplated in a separate written agreement between you and Moises; and
Media and Press Activities: Journalistic coverage, reviews, commentary, or similar editorial uses.
All uses of the Media Assets, and all materials, media, and content incorporating or displaying the Media Assets, must be truthful, non-misleading, and must not suggest endorsement, sponsorship, or affiliation by Moises unless expressly authorized in writing.

Compliance with Brand Guidelines. Your use of the Media Assets must strictly comply with:
The Moises Brand Identity guidelines (the "Brand Guidelines"), which may be updated from time to time; and
All applicable laws, regulations, and third-party rights, including intellectual property, privacy, publicity, and defamation laws.
You are responsible for reviewing and complying with the most current version of the Brand Guidelines. Moises may update the Brand Guidelines at any time, and your continued use of the Media Assets constitutes acceptance of such updates.

Restrictions on Use. You may not use the Media Assets:
In any manner that disparages, misrepresents, or is misleading about Moises, our products, or our services;
In connection with any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content;
To suggest endorsement, sponsorship, partnership, or affiliation with Moises unless expressly authorized in writing;
In connection with political campaigns, causes, or endorsements;
In any way that competes with or displaces Moises's products, services, or business;
As part of your own trademarks, service marks, logos, or brand identity;
To train, develop, or inform any artificial intelligence, machine learning, or similar algorithmic systems;
In connection with the sale, distribution, or marketing of third-party products or services unrelated to Moises, except as expressly permitted under Section 1 (e.g., bona fide partner marketing);
In any way that modifies, distorts, recolors, or creates derivative works from the Media Assets, except as expressly permitted in the Brand Guidelines; or
In violation of any applicable law or regulation or any third-party rights (including intellectual property, privacy, or publicity rights).
Privacy. Your use of the Moises Design Hub is also governed by our Privacy Policy. By accessing the Moises Design Hub, you acknowledge that you have read and understood our Privacy Policy and agree to our collection, use, and disclosure of your information as described therein.

Removal of Specific Media Assets. If Moises determines, in its sole discretion, that your use of any Media Assets violates these Terms, the Brand Guidelines, or applicable law, or otherwise harms Moises's brand, reputation, or business interests, Moises may notify you to stop using any specific or all Media Assets, and remove them from all materials, websites, and other media. Upon receiving such notice from Moises, you must:
Immediately stop using of the specified Media Assets;
Promptly remove the Media Assets from all materials, websites, platforms, and other media in your possession or control; and
Within fifteen (15) days of Moises's notice, provide written confirmation to Moises that you have complied with the cessation request.
Your failure to comply with a cessation request shall constitute a material breach of these Terms and will result in immediate termination of your license under Section 12.
Ownership and Intellectual Property. Moises and/or its licensors retain all right, title, and interest in and to the Media Assets and all associated intellectual property rights. The Media Assets are protected by copyright, trademark, and other intellectual property laws in the United States and internationally. Your use of the Media Assets does not grant you any ownership rights in the Media Assets, and all goodwill arising from your use shall inure exclusively to the benefit of Moises. You may not take any action that would compromise or impair Moises's or its Licensor’s, as applicable, rights in the Media Assets, including but not limited to filing confusingly similar trademark applications or challenging Moises's or its Licensor’s ownership.
No Transfer or Sublicense. You may not sell, assign, transfer, sublicense, or otherwise distribute the Media Assets to any third party, except that you may provide the Media Assets to contractors or agents working on your behalf solely to effectuate the permitted uses in Section 1, provided such contractors or agents agree in writing to be bound by these Terms. You are solely responsible for ensuring that your contractors or agents comply with these Terms, and you will be liable for any breach of these Terms by your contractors or agents as if such breach were committed by you.
Verification and Samples. Upon Moises's request, you agree to promptly provide representative samples or specimens of your use of the Media Assets, at no cost to Moises, to verify compliance with these Terms and the Brand Guidelines.
No Support. Moises has no obligation to provide you support, maintenance, updates, or new versions of the Media Assets.
Indemnity. To the fullest extent permitted by law, you are responsible for your use of the Moises Design Hub and the Media Assets, and you will defend and indemnify Moises, its affiliates and their respective shareholders, directors, managers, members, officers, employees, consultants, and agents (together, the "Moises Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including attorneys’ fees and costs, arising out of or connected with: (a) Your use of the Moises Design Hub or the Media Assets in any manner except as expressly permitted by these Terms; (b) Your breach of these Terms or violation of applicable law; (c) Your violation of any third-party rights, including intellectual property, privacy, publicity, or other proprietary rights; (d) Any false, misleading, or defamatory statements or representations made by you in connection with your use of the Media Assets; or (e) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.

Disclaimers; No Warranties.
THE MOISES DESIGN HUB AND MEDIA ASSETS ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. MOISES DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO MOISES DESIGN HUB AND MEDIA ASSETS, INCLUDING: (a) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (b) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. MOISES DOES NOT WARRANT THAT THE MOISES DESIGN HUB AND MEDIA ASSETS WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND MOISES DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE MOISES DESIGN HUB AND MEDIA ASSETS WILL CREATE ANY WARRANTY REGARDING ANY OF THE MOISES ENTITIES OR THE MOISES DESIGN HUB AND MEDIA ASSETS THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM: (a) THE MOISES DESIGN HUB; (b) ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE MEDIA ASSETS; AND (c) YOUR ABILITY OR INABILITY TO DOWNLOAD THE MEDIA ASSETS FROM THE MOISES DESIGN HUB. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE MOISES DESIGN HUB AND THE MEDIA HUB AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICE) OR ANY LOSS OF DATA.
THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION (DISCLAIMERS; NO WARRANTIES) APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. Moises does not disclaim any warranty or other right that Moises is prohibited from disclaiming under applicable law.

Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY LAW, MOISES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL) ARISING FROM OR RELATED TO YOUR USE OF THE MOISES DESIGN HUB OR MEDIA ASSETS, OR THE TERMINATION OF THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF MOISES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MOISES'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION (LIMITATION OF LIABILITY) WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Term and Termination.
Term. These Terms are effective upon your first access to or use of the Moises Design Hub or Media Assets and continue until terminated in accordance with this Section.
Termination by Moises. Moises may suspend or terminate your access to the Moises Design Hub or your license to use the Media Assets at any time, with or without cause, and with or without notice. These Terms will terminate automatically and immediately upon your breach of any provision of these Terms.
Termination by You. You may terminate these Terms at any time by ceasing all use of the Media Assets and deleting or destroying all copies in your possession or control.

Effect of Termination. Upon termination:
Your license to use the Media Assets and your right to access the Moises Design Hub immediately terminate;
You must immediately cease all use of the Media Assets and remove them from all materials, websites, and other media in your possession or control; and
If Moises terminates these Terms without cause, you may, except where the Media Assets are the subject of a claim of infringement or misuse, complete the use of Media Assets incorporated into materials already in production for a period of thirty (30) days following termination, provided such use complies with these Terms.
Post-Publication Archive Rights. Notwithstanding the termination of these Terms, you may maintain published news articles, editorial content, press releases, and similar journalistic works that were lawfully published prior to termination and that incorporate or display the Media Assets (collectively, "Archived Content"), provided that: (i) the Archived Content was published in compliance with these Terms and solely for the permitted purposes under Section 1(b)(i) (News and Editorial Coverage) or Section 1(b)(iii) (Media and Press Activities); (ii) you do not create, publish, or distribute any new content incorporating the Media Assets after the effective date of termination; (iii) the Archived Content is maintained in its original published form without modification or update; (iv) you promptly remove any Archived Content if Moises provides written notice that such content violates these Terms, contains inaccurate information, or otherwise harms Moises's brand or reputation; and (v) this archive right does not apply to partner marketing materials under Section 1(b)(ii), which must be removed in accordance with Section 13.d. For clarity, this provision permits only the passive retention of historical published works and does not authorize ongoing promotion, redistribution, or republication of such works in new contexts or on new platforms.

Miscellaneous.
General Terms. These Terms, including the Privacy Policy and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Moises regarding your use of the Moises Design Hub and the Media Assets. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms and all rights granted under these Terms, at any time without notice or consent to any affiliate or successor in interest. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Use of Section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word “including” means “including but not limited to.” If any part of these Terms is held to be invalid or unenforceable, then the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
Governing Law. These Terms are governed by the laws of the State of Utah without regard to conflict of law principles. You and Moises submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Salt Lake County, Utah for resolution of any lawsuit or court proceeding permitted under these Terms. We operate the Moises Design Hub from our offices in Utah, and we make no representation that any materials included or made available in the Moises Design Hub are appropriate, available, or legal for use in other locations. You are solely responsible for ensuring your use of the Moises Design Hub and the Media Assets complies with all applicable local laws.
Amendments. Moises reserves the right to modify these Terms at any time by posting the updated Terms on the Moises Design Hub. You are responsible for periodically reviewing these Terms to stay informed of any updates. Your continued use of the Moises Design Hub or Media Assets after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease all use of the Moises Design Hub and Media Assets.
Notice. You agree to promptly notify Moises in writing at legal@moises.ai of any change in your contact information or if you become aware of any unauthorized use of the Media Assets.
Relationship of the Parties. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Moises.
Export Control. You agree to comply with all applicable export and import control laws and regulations in your use of the Media Assets.
Injunctive Relief. You acknowledge and agree that: (i) the Media Assets embody substantial goodwill, proprietary rights, and confidential and valuable intellectual property of Moises; (ii) any breach or threatened breach of these Terms, including any unauthorized use, modification, or distribution of the Media Assets, will cause Moises immediate and irreparable harm for which monetary damages would be an inadequate remedy; and (iii) Moises is entitled to seek equitable relief, including temporary restraining orders, preliminary injunctions, and permanent injunctions, to prevent or remedy any breach or threatened breach of these Terms, without the necessity of posting a bond or proving actual damages. This right to equitable relief is in addition to, and not in lieu of, any other remedies available to Moises at law or in equity.
Survival. The following sections survive termination: Sections 6 (Ownership and Intellectual Property), 10 (Indemnity), 11 (Disclaimers; No Warranties), 12 (Limitation of Liability), 13.d (Effect of Termination), 14 (Miscellaneous).
